Dick joined the firm in 1980 and has been a shareholder and director since 1987. He is the chair of the firm's Corporate Department and concentrates his practice in corporate governance, corporate transactions (M&A), and securities regulation, including public company SEC representation, private securities offerings, formation of investment funds and investment adviser representation.

Representative Clients & Work

  • Represents public and private companies in securities offering and regulatory matters and in acquisition and sale transactions ranging from $1 million to over $500 million.
  • Former and currently secretary of New Hampshire-based public companies.
  • Represents registered investment advisers in regulatory matters and formation of private investment funds.
  • Representation of Dover Corporation (DOV:NYSE) in December 2006 acquisition of Markem Corporation, one of New Hampshire's largest manufacturing firms with operations in over a dozen countries.
  • Representation of BayCorp Holdings, Ltd. in connection with the sale of their interests in the Seabrook Nuclear Power Plant, representing 17% of a $800 million transaction.
  • Representation of BayCorp Holdings, Ltd. in a $135 million issuer tender offer for repurchase of 94% of outstanding shares and disclosure of the transaction as a "going private" transaction.
  • Represention municipal water department in a $38 Million municipal revenue bond offering to finance improvements to the City's water treatment facilities.
  • Representation of Telecommunications Systems of New Hampshire, a holding company for telephone local exchange carriers, in its sale to TDS. (Size of transaction is not public.)

Dick has chaired the Corporation, Banking and Business Law Section of the New Hampshire Bar Association and the Bar Association's Continuing Legal Education Committee. He is one of the authors of New Hampshire's Business Corporation Act and New Hampshire's Limited Liability Company Act. He is currently on the Board of Directors and chair of the Fiscal Policy Committee of the Business & Industry Association of New Hampshire, the state's largest chamber of commerce. Dick is also the New Hampshire liaison to the American Bar Associations Business Law Section's Committee on State Regulation of Securities and Committee on Corporate Laws.

Community Involvement

Dick serves on the Board of Directors and chairs the Fiscal Policy Committee of the Business & Industry Association of New Hampshire. He is chairman of the Board of Directors of the Manchester Community Health Center and serves on the Board of Trustees of the New Hampshire Institute of Art and on the Board of Directors of the Granite State Opera. He is a past Trustee and Chairman of the Greater Manchester YMCA, and he continues to serve on various YMCA committees and provides legal counsel to the YMCA. He also has served as chairman of the New Hampshire Bar Pro Bono Referral System Governing Board.

Career

He received a Bachelor of Arts degree (cum laude) from Union College, a Master of Arts degree from Duke University in 1976, a law degree (cum laude) from Cornell University in 1980 where he was an editor of the Cornell International Law Journal.

Recent Publications and Lectures

Dick has authored articles on the New Hampshire security takeover disclosure law, corporation laws, and utility financing. He has taught at numerous seminars on business and securities law.
