Corey Habib is a member of the firm’s Corporate Department. He is a dedicated, seasoned, and results-driven lawyer, advocate, and problem solver, specializing in mergers and acquisitions and private equity. Corey is adept at working collaboratively with clients, colleagues, and opposing counsel to ensure client business objectives are achieved successfully, seamlessly, and efficiently. Corey prides himself on fostering strong client relationships and serving as a reliable partner to private equity firms, corporate clients, and high-net-worth individuals, helping them navigate the complexities of high-stakes transactions and strategic investments. Henry Marley is Of Counsel in the firm’s Trusts and Estates Department, where he advises high-net-worth individuals, multigenerational families, business owners, executives, and fiduciaries on sophisticated wealth transfer planning. Henry’s practice emphasizes planning that is practical to administer, preserves family wealth across generations, and reflects each family’s values and long-term vision. Henry advises clients on gifting strategies, business succession planning, and various structures involving closely held businesses, stock options, carried interests, and private investment funds. A significant portion of his practice involves counseling clients on multistate and cross-jurisdictional planning, including preparing for and defending against domicile audits, migrating trusts to more favorable jurisdictions, directed trust planning, and modernizing irrevocable trust structures to better align with evolving family and tax objectives. He works closely with accountants, trust companies, financial advisors, valuation professionals, and other counsel to implement coordinated planning strategies. Before joining McLane Middleton, Henry practiced in the Private Wealth Services Group at Holland & Knight LLP and with trusts and estates firms in Boston, New York, and New Jersey. Before law school, Henry served with the Manhattan District Attorney’s Office, where he assisted in the reinvestigation and successful prosecution of cold-case homicides. Henry received his J.D. from Cornell Law School and his B.A. from Fordham University. Dave Wittmann is Of Counsel in the firm’s Corporate Department, where he focuses his practice on mergers and acquisitions, general corporate mattes, and financing transactions, with particular expertise representing companies and investors in early-stage financings. With nearly two decades of experience, Dave regularly advises emerging growth companies, venture capital funds, closely held businesses, and  strategic acquirers on a wide range of corporate matters, including seed and venture capital financings, M&A transactions (buy and sell side), joint ventures, executive and equity compensation, formation, contract, and general corporate governance matters. His practice spans many industries ranging from deep tech, life sciences, AI, and robotics, to manufacturing, construction, and trade businesses, and he has closed transactions ranging from early-stage seed rounds to multi-million-dollar acquisitions and sales. Prior to joining McLane Middleton, Dave was general counsel and CCO at an active Venture Capital firm based in New York City. Dave received his B.A. at Ohio University and his J.D. at Suffolk University Law School.
