Patrick McDonough is counsel in McLane Middleton’s Litigation Department, where he represents public and private companies, boards, executives, investors, and entrepreneurs in complex commercial disputes. A senior litigator with more than a decade of experience, Patrick litigates in state and federal courts around the country, the Delaware Court of Chancery, and arbitration. He serves as day-to-day counsel from early risk assessment and pre-suit strategy through discovery, dispositive motions, emergency injunctive relief, trial, appeal, and resolution.

Patrick’s practice includes contract and business-tort disputes; shareholder, partnership, and closely held business disputes; trade secrets and restrictive covenants; executive and employment matters, including management equity and compensation; securities and M&A litigation; and internal and government investigations. He also brings deep experience in Delaware corporate law, advising companies, boards, and officers on corporate governance, fiduciary duties, Section 220 demands, and executive equity arrangements, and he has argued significant motions before the Court of Chancery. Patrick also counsels clients on commercial agreements, including distribution, separation, investment, technology, and long-term service arrangements.

Patrick’s work has included obtaining dismissal at the pleading stage of a federal securities class action against a multinational warehouse-club operator and its former executives; coordinating the defense of ten merger-objection suits arising from a private-equity acquisition of a national grocery chain; winning a preliminary injunction in the Southern District of New York for senior broker-dealer executives departing from their previous firm; and defending a former chief financial officer in DOJ and SEC investigations. He has managed expert, e-discovery, and multidisciplinary litigation teams, and he uses generative AI and technology-assisted review to handle large volumes of information efficiently.

Before joining McLane Middleton, Patrick was a senior litigation associate at Sterlington and, for nearly a decade, at Mintz in Boston, where he led litigation and arbitration teams. He began his career at LeClairRyan and clerked for the Honorable William J. Meade of the Massachusetts Appeals Court. Before law school, he worked in corporate finance and investor relations at Capital One, where he took part in acquisition due diligence and helped lead earnings and SEC reporting communications. That business background shapes how he advises clients on legal and commercial risk.

Patrick is a past Co-Chair of the Boston Bar Association’s Securities Enforcement Committee and serves on the board of the Greater Lawrence Community Boating Program. He is a proud graduate of St. John’s Preparatory School, where he previously served on the Alumni Board. He is the author of “How the U.S. Supreme Court’s Upcoming Decision in Slack v. Pirani May Tilt the Legal Playing Field Between Investors and Issuers,” 140 Banking Law Journal 263 (2023).

Patrick graduated from Georgetown University, Edmund A. Walsh School of Foreign Service, B.S., 2004 and received his J.D., magna cum laude in 2012 from Suffolk University Law School (Production Editor, Suffolk University Law Review).

Outside of work, Patrick enjoys spending time with his wife and three children, coaching youth sports, and getting away to Cape Cod with his family.
