Kim Kramer is a Director and Vice Chair of the firm’s Corporate Department, where she has built a trusted practice guiding entrepreneurs and closely held and family-owned businesses through every stage of the business lifecycle. From entity formation through complex negotiations involving shareholder and operating agreements, distribution arrangements, joint ventures, and licensing deals, Kim provides the strategic counsel her clients need to grow with confidence. Her experience extends to asset and stock sales, including the successful transfer of ownership to third parties, the next generation, and key employees, as well as representing companies in convertible debt, private equity, and venture financing transactions.

Kim’s leadership extends well beyond her own client work. As a frequent speaker at the MIT Smart Start Program, she is deeply committed to mentoring and supporting the next generation of entrepreneurs. In 2024, she expanded her contribution to the legal community by authoring Chapter 5 on Escrow Agreements for MCLE New England’s Drafting and Negotiating Massachusetts Contracts, a resource that helps shape how attorneys across the state approach contract drafting and negotiation. She is currently developing a new MCLE program titled “Drafting Enforceable Waivers.”

Kim is also deeply engaged in her community. As a volunteer for KIND (Kids In Need of Defense), she supports an organization dedicated to protecting the rights and well-being of migrant children in the United States—work that reflects her values and her willingness to advocate for the most vulnerable. She also serves as counsel on the advisory board of The Footwear Collective, partnering with global footwear brands to advance circularity and sustainability in the industry, underscoring her forward-thinking approach to business and environmental responsibility. Kim also serves as a poll observer for the New Hampshire Democratic Party during key elections.

Prior to joining McLane Middleton, Kim was an equity owner at a boutique Boston firm.

Kim received her J.D. from Northeastern University School of Law (1997) and her B.S. from The Pennsylvania State University (1993).
